THK's Notification of the Temporary Accounting Auditor’s Appointment We would like to notify you by this that our company’s Board of Auditors approved a resolution of the temporary accounting auditor’s appointment, pursuant to Article 346, Paragraphs 4 and 6 of the Company Law, at the auditor’s meeting of July 1, 2006, as follows: 1. Main reason for the temporary accounting auditor’s appointment: ChuoAoyama Pricewaterhouse Coopers, which was formerly our company’s accounting auditor,received from the Financial Services Agency an administrative decree issued on May 10, 2006,to the effect that it must suspend part of its statutory audit activities, including the accounting audit of our company, for a two-month period, from July 1, 2006, until August 31, 2006. Because of this, it was disqualified as our company’s accounting auditor, and so we have appointed Taiyo ASG Audit Corporation as temporary accounting auditor in order to fill its vacancy. In this context, we will move a resolution of the accounting auditor’s appointment at the fixed general meeting of shareholders for the 37th fiscal year, to be held in June 2007. 2.
